Ask three providers how long incorporation takes and you will get three answers, most of them technically true and none of them complete. The filing itself is fast. What surrounds it is where time actually goes.
The short answer
Once your name is approved and every director and shareholder has completed due diligence and signed, ACRA incorporation is typically completed within one to two working days. That is the part providers quote.
What sits inside the timeline
- Name application. Usually approved within a day. If your proposed name touches a regulated word — anything suggesting banking, finance, law, education or media — it can be referred to another authority, and that referral adds weeks, not days.
- Due diligence on the people. Every director and shareholder must be verified. This is the step clients most often underestimate, particularly where shareholders sit overseas or a corporate shareholder sits above them.
- Document preparation and signing. Constitution, first board resolutions and share certificates. Straightforward, but it moves at the speed of the slowest signatory.
- ACRA filing. The fast part. Your UEN is issued and the company legally exists.
What actually delays people
In our experience the filing is rarely the bottleneck. Three things are.
- A name that needs referral. Choose a fallback name before you start.
- Incomplete identity documents for overseas parties. A passport scan that is cropped, expired or unreadable will stop the file.
- A corporate shareholder structure that has to be traced upward. If a company owns your company, we generally need to see through to the individuals behind it.
The part nobody quotes: being operational
Incorporation and readiness to trade are different milestones. Your company can exist on Monday and still not be able to receive payment on Friday. Bank account opening runs on the bank’s timetable, not ours or yours, and for foreign-owned companies it is routinely the longest single step in the whole process. Any licences your activity requires sit on their own clocks too.
A realistic plan treats incorporation as fast and banking as the variable. If you are working to a launch date, work backwards from the bank account, not from ACRA.
Worth saying plainly: no provider controls how quickly a bank opens an account, and anyone promising you a firm date for it is guessing.
What to have ready before you start
- A first-choice and a second-choice company name
- Identity and address documents for every director and shareholder, current and legible
- Your intended business activity, so the right SSIC code is used
- A registered office address
- A decision on financial year end — it sets every deadline that follows
Get those in place and the one-to-two-day figure is real rather than aspirational.
